These Terms of Service ("Terms") govern your use of the Wrapi platform and services provided by Wrapi, Inc. ("Company," "we," "our," or "us"). By accessing or using our services, you agree to be bound by these Terms.

Our platform provides professional webcasting and hybrid event management services designed for AV companies, event professionals, and organizations requiring enterprise-grade live streaming capabilities.

Account Creation

• You must provide accurate and complete information during registration
• You are responsible for maintaining the security of your account credentials
• You must be at least 18 years old to create an account
• One person may not maintain multiple accounts
• Accounts are non-transferable

Account Security

• You are solely responsible for all activities under your account
• Notify us immediately of any unauthorized access
• Use strong passwords and enable two-factor authentication when available
• Do not share your login credentials with others

You agree to use our services responsibly and in compliance with all applicable laws. You may not:

Prohibited Activities

• Upload, stream, or share illegal, harmful, or inappropriate content
• Violate intellectual property rights of others
• Use the service to harass, abuse, or harm others
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service or servers
• Use automated scripts or bots without permission
• Circumvent security measures or access controls
• Impersonate others or provide false information

Content Guidelines

• Content must be appropriate for professional business environments
• No offensive, discriminatory, or hateful material
• Respect copyright and trademark laws
• Maintain professional standards in communications

Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or modifications that could temporarily affect service availability. We will provide reasonable notice for planned maintenance when possible.

Pricing Model

• Pay-as-you-go pricing: $1 per unique attendee per event
• Maximum charge: $10,000 per individual event
• No setup fees or monthly minimums
• Billing occurs automatically after each event ends

Payment Processing

• Payments are processed securely through Stripe
• You must provide valid payment method information
• Charges are processed in USD
• Failed payments may result in service suspension
• You are responsible for any bank fees or payment processing charges

Billing Disputes

If you believe there is an error in your billing, contact us within 30 days of the charge. We will investigate and resolve billing disputes in good faith.

Our Rights

The Wrapi platform, including all software, designs, text, graphics, and other materials, is owned by Wrapi, Inc. and protected by copyright, trademark, and other intellectual property laws.

Your Content

• You retain ownership of content you upload or create
• You grant us necessary rights to provide our services
• You are responsible for ensuring you have rights to all content you upload
• We may remove content that violates these terms

License to Use

We grant you a limited, non-exclusive, non-transferable license to use our platform for your business purposes in accordance with these terms.

Your privacy is important to us. Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these terms by reference.

Data Security

• We implement industry-standard security measures
• All data is encrypted in transit and at rest
• Access controls protect against unauthorized access
• Regular security audits and monitoring

Data Backup and Recovery

While we maintain regular backups, you are responsible for maintaining your own copies of important data and content.

Account Termination

• You may terminate your account at any time
• We may terminate accounts for violations of these terms
• We may suspend service for non-payment
• 30 days written notice for termination without cause

Effect of Termination

• All rights and licenses granted to you will cease
• Outstanding payments become immediately due
• We may delete your account and data after reasonable notice
• Surviving provisions remain in effect

Service Warranty

IMPORTANT: Our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

LIABILITY LIMITATION: To the maximum extent permitted by law, Wrapi, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.

Our total liability for any claims arising out of or relating to these terms or our services shall not exceed the amount you paid us in the 12 months preceding the claim.

You agree to indemnify, defend, and hold harmless Wrapi, Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or in any way connected with:

• Your use of our services
• Your violation of these terms
• Your content or data
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

Governing Law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Dispute Resolution Process

1. Informal Resolution: Contact us first to resolve disputes informally
2. Mediation: If informal resolution fails, we agree to mediation
3. Arbitration: Binding arbitration for disputes over $10,000
4. Small Claims: Either party may pursue claims in small claims court

Class Action Waiver

You agree that any arbitration or legal proceeding shall be limited to the dispute between us and you individually. You waive any right to participate in class actions or class-wide arbitration.

Modification of Terms

We may modify these terms at any time. We will notify you of material changes via email or through our platform. Continued use after changes constitutes acceptance.

Severability

If any provision of these terms is found unenforceable, the remaining provisions will remain in full force and effect.

Entire Agreement

These terms, together with our Privacy Policy, constitute the entire agreement between you and Wrapi, Inc. regarding our services.

Assignment

We may assign these terms or any rights hereunder without your consent. You may not assign these terms without our written consent.
